When one fiscal year finishes and a new one begins, it serves as a reminder to all company’s registered in India to mark their calendars for all of the crucial due dates for Company Annual Filing. Be it a Private Limited Company or a Public Limited Company, a Small Company or a Large Company, they must be informed of all the Compliance related due dates that happen in a new fiscal year. We have created a calendar with all of the Important Statutory Due Dates for the fiscal year 2021-22, including ROC Annual Filing Due Dates, Event-based ROC Filing Due Dates, Income Tax Due Dates, and so on for Private Limited Company and Public Limited Company Annual Filing.
Key Abstract
Every company registered in India is required to file its annual accounts and annual returns with the Registrar of Companies within 30 days and 60 days of the completion of the Annual General Meeting, respectively. It is critical for all organisations to file all of their ROC Annual Filing Forms within the time period stipulated by the MCA (Ministry of Corporate Affairs).
If a company fails to comply with the rules of the ROC Annual Compliance, it may face severe fines. Such fines would be in addition to the Ministry of Corporate Affairs’ standard costs, and there would be no way to get away with it.
ROC compliance
Annual ROC compliances are thorough reports of business practises that every registered company/LLP in India is required to provide under the Companies Act, 2013 and Companies Rules. Companies/LLP must file the ROC paperwork with ROC without fail; otherwise they may face a penalty.

ROC form submission
Companies and LLPs must get the paperwork from the MCA website. They must fill it out, attach the necessary papers, and submit it through the MCA site.
Is it necessary to file forms with ROC on a monthly or yearly basis?
The ROC forms are issued on a yearly basis. There are no paperwork that must be filed with the ROC on a monthly basis. The documents to be filed with the ROC pertain to the company’s/financial LLP’s information for the fiscal year.
Can we get a form filing extension from the ROC?
Yes. A company/LLP can request an extension to the deadline for filing a ROC form by submitting an extension request to the ROC where the company/LLP is registered. The reason for the form filing extension must be stated by the company/LLP. If the justification is legitimate, the ROC will grant an extension.
Due dates for ROC filings in the years 2022-23
Every year, the ROC, or Registrar of Companies, mandates all company’s registered in India to complete specific papers. Businesses in India must comply with these regulations regardless of their structure. As a result, every year, every Private Limited Company, Public Limited Company, Limited Liability Partnership, and so on must keep track of all the ROC Filing Due Dates. All companies and limited liability partnerships registered in India must comply with the ROC Annual Filing Compliances under the Companies Act, 2013 and the Limited Liability Partnership Act, 2008, respectively. There are both yearly and event-based compliances that necessitate ROC filing.
Important Notice Regarding the Extension of the Due Date for LLP Form 11 and Other LLP Compliance Forms
The following are the important updates regarding the extension of the Due Date for LLP Form 11 and Other LLP Compliance Forms.
- The Ministry of Corporate Affairs has received several requests requesting an extension of the deadline for filing the LLP Annual Return in Form 11 without any additional expenses. Taking into account the representations and the transition from version-2 to version-3 of MCA-21, the MCA has decided to extend the deadline for filing E-Form LLP 11, i.e. Annual Return of Limited Liability Partnership for the Fiscal Year 2021-22, without paying any additional fees from 30th May, 2022 to 30th June, 2022.
- Furthermore, MCA has relaxed the due dates for numerous event-based LLP E-Forms such as LLP Form 3 and others, which had due dates ranging from February 25th to May 31st 2022.
- The new extended deadline for event-based LLP E-Forms is June 30th, 2022.
- A step has been taken to encourage Limited Liability Partnerships to comply with their annual reporting requirements.
Calendar of ROC Compliance
- It is critical that companies and limited liability partnerships formed in India file the relevant ROC Filing Forms by the deadlines.
- Companies and LLPs who fail to comply with the ROC filings may face significant penalties.
- As a result, it is critical for businesses and LLPs to maintain track of all relevant due dates for both annual and event-based ROC compliances.
We have created a ROC Compliance Calendar for the due dates in the years 2022-23.
