The Company\u2019s charge is a right made by a company who is known as \u201cthe borrower\u201d on their properties and assets, which may be present and future. It is in favor of a financial association or bank, which will be called \u201cthe lender\u201d. Most enterprises borrow money to fulfill their short-term and long-term capital needs from financial institutions and banks.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">To lend money, banks have made various legal documents such as loan agreements, mortgage deeds, etc. to mention the terms and conditions of the loan and make sure to repay with interest as per terms.\u00a0<\/span><\/p>\n<h2 id=\"of\"><b>Requirement of Charge Creation\u00a0<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Here are certain sections and rules which are applicable for the <\/span><b>registration of charges with RoC<\/b> <b>Companies Act, 2013<\/b><span style=\"font-weight: 400;\"> provisions are from sections 77 to 87.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Requirement of charge creation: It is a kind of security made on secure company lent. A charge may be fixed in case of a particular item attached to it such as a floating charge, if the charge is formed over changing assets for instance, receivable, cash; or property like land. The charge forms by the company on their assets and it is an obligation to companies to <\/span><b>charge registration with RoC<\/b><span style=\"font-weight: 400;\"> of the specific creation of charge. The objective of <\/span><b>charge registration with RoC<\/b><span style=\"font-weight: 400;\"> is to offer public notice for those who contemplate giving credit to the company on how far the company\u2019s property is hindered.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In the current situation, no. of non-performing assets is rising because financial institutions are not lending money unless they feel secure about the lending amount and the amount is in safe hands. For security purposes, the financial institutions have taken over the right to the company\u2019s assets. Generally, a charge is formed on the instruments such as loan agreements, deeds of mortgage, or any other legal documents.<\/span><\/p>\n<h2 id=\"who\"><b>Who can apply for registration of charge with RoC?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The charge is created by the company as it&#8217;s their duty. If the company fails to register the charge within 30 days as per section 77(1) of the <\/span><a href=\"https:\/\/legalwindow.in\/category\/company-law\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Companies Act, 2013<\/span><\/a><span style=\"font-weight: 400;\">, without prejudice to its liability about any offense under this chapter. An individual in whose favor the charge is made may apply for the <\/span><b>registration of charges with RoC<\/b><span style=\"font-weight: 400;\"> along with the instrument made for the charge. An individual is entitled to recover from the company the amount of fees. However, before filing a form, an individual will give 14 days\u2019 notice to the Company. In case the Company is not going to register a charge or show potential cause then the individual himself will file a form with the RoC<\/span><\/p>\n<h2 id=\"with\"><b>Registration of Charge with RoC<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">When a charge is created, it becomes the duty of the company to the <\/span><b>registration of charges with RoC<\/b><span style=\"font-weight: 400;\"> and also files the necessary documents, which make a charge over the company. According to the Companies Act, 2013, some of the charges created by a company should be registered:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creation of charge is for the objective of securing any <\/span><a href=\"https:\/\/legalwindow.in\/issue-of-debentures-by-a-company\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">issue of debentures<\/span><\/a><span style=\"font-weight: 400;\"> or deposits;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">It is on the Company\u2019s uncalled <\/span><a href=\"https:\/\/legalwindow.in\/types-of-share-capital\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">share capital<\/span><\/a><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Charge is on immovable property, wherever it is, or any interest therein;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creation of charge on any company\u2019s book debt;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">It is on any of the Company\u2019s movable property it includes stock-in-trade;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creation of charge on calls but not paid;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Charge is on any share in a ship or a ship;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creation of charges is on intangible assets, such as <\/span><a href=\"https:\/\/legalwindow.in\/patent-registration-in-rajasthan\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">patent<\/span><\/a><span style=\"font-weight: 400;\">, goodwill, license under a <\/span><a href=\"https:\/\/legalwindow.in\/stages-of-trademark-a-complete-overview\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">trademark<\/span><\/a><span style=\"font-weight: 400;\">, patent, and <\/span><a href=\"https:\/\/legalwindow.in\/copyright-infringement-in-india\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">copyright<\/span><\/a><span style=\"font-weight: 400;\">.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Charges registration of a motor vehicle is not compulsory unless needed by the lender. In addition to the non-<\/span><b>registration of charges with RoC<\/b><span style=\"font-weight: 400;\">, a disclosure should be made in the Company\u2019s balance sheet.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">There is a limited period for <\/span><b>registration of charge with RoC<\/b><span style=\"font-weight: 400;\">, which is 30 days from its creation. <\/span><b>Registration of charge with RoC<\/b><span style=\"font-weight: 400;\"> of filing can be created up to 300 days from the date of the charge created.
