The RBI classifies NBFCs into various categories depend on the type of activities they undertake. Some of its types are:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Investment and Credit Company (ICC):<\/b><span style=\"font-weight: 400;\"> An ICC is an NBFC that primarily deals in investing in shares, bonds, or debentures; Lending and Asset financial activities.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Infrastructure Finance Company (IFC):<\/b><span style=\"font-weight: 400;\"> An IFC is an NBFC that provides long-term <\/span><span style=\"font-weight: 400;\">finance<\/span><span style=\"font-weight: 400;\"> for infrastructure projects.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Core Investment Company (CIC-ND-SI): <\/b><span style=\"font-weight: 400;\">A CIC-ND-SI is an NBFC that holds more than 90% of its assets in the form of investments in shares, bonds, or debentures of other group companies.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Microfinance Institution (MFI):<\/b><span style=\"font-weight: 400;\"> An MFI is an NBFC that provides small loans and other financial services to low-income households.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Factoring Company:<\/b><span style=\"font-weight: 400;\"> Factors are NBFCs that primarily deal in factoring business, which involves buying accounts receivable of businesses and providing them with funds.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Housing Finance Company (HFC):<\/b><span style=\"font-weight: 400;\"> An HFC is an NBFC that provides finance for the purchase or construction of houses.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Account Aggregators (NBFC-AA)<\/b><span style=\"font-weight: 400;\"> \u2013 Involving the functions of account aggregation.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Infrastructure Debt Fund NBFC (IDF-NBFC)-<\/b><span style=\"font-weight: 400;\"> It provides the long-term debt flow into infrastructure projects.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Peer to Peer Lending (P2P)- <\/b><span style=\"font-weight: 400;\">Involving the business of a peer-to-peer lending platform, majorly IT driven.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Mortgage Guarantee Companies (MGC)<\/span><\/li>\n<\/ul>\n<h2 id=\"and\"><b>Applicability of Directions and Important Compliances<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The directions given by the RBI are applicable to all NBFCs, unless particularly exempted by the RBI. NBFCs are needed to comply with the directions issued by the RBI in letter and spirit.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Furthermore, the directions given by the RBI are there with certain significant compliances that NBFCs must follow. These are:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Annual Return:<\/b><span style=\"font-weight: 400;\"> NBFCs are needed to submit an annual return to the RBI in the given format within 90 days of the end of the financial year.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Audited Financial Statements: <\/b><span style=\"font-weight: 400;\">NBFCs are needed to prepare and submit audited financial statements to the RBI in the given format witing 6 months from the end of the financial year.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Prudential Norms:<\/b><span style=\"font-weight: 400;\"> NBFCs are needed to maintain the minimum capital adequacy ratio, maintain minimum liquidity requirements, and follow asset classification and provisioning norms as specified by the RBI.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>KYC Norms:<\/b><span style=\"font-weight: 400;\"> NBFCs are required to follow the Know Your Customer (KYC) norms while opening accounts of customers.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Fair Practices Code (FPC):<\/b><span style=\"font-weight: 400;\"> The FPC outlines the standards and practices to be followed by NBFCs while conducting business activity. NBFCs are required to follow the FPC while dealing with customers. \u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Submission of Returns:<\/b><span style=\"font-weight: 400;\"> NBFCs are needed to submit many periodic returns to the RBI. These involve monthly and quarterly retune on prudential norms, <\/span><span style=\"font-weight: 400;\">asset,<\/span><span style=\"font-weight: 400;\"> classification, and provisioning, among others.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Audit and Inspection:<\/b><span style=\"font-weight: 400;\"> NBFCs are subject to periodic audits and inspections by the RBI to make sure the compliance with regulatory requirements.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Anti-Money Laundering (AML) and Combating of Financing of Terrorism (CFT):<\/b><span style=\"font-weight: 400;\"> NBFCs are required to follow AML\/CFT instructions issued by the RBI to prevent money laundering and terrorist financing activities.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">NBFCs must make sure about compliance with these directions and <\/span><a href=\"https:\/\/legalwindow.in\/category\/compliance\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">compliances<\/span><\/a><span style=\"font-weight: 400;\"> to maintain their regulatory standing and ensure the soundness and stability of their operations.<\/span><\/p>\n<h2 id=\"to\"><b>Duties and Responsibilities of Auditors in relation to NBFCs<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Auditors play a significant role in making certain stability in finance and transparency of NBFCs. The responsibilities of auditors in relation to NBFCs are as follows:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Audit of Financial Statements:<\/b><span style=\"font-weight: 400;\"> Auditors are responsible for auditing the financial statements of NBFCs to provide an opinion on the accuracy and reliability of the financial information presented. This includes verifying the financial transactions, accounting policies, and disclosures made by the NBFC in accordance with the applicable accounting standards and regulations.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Reporting of Frauds<\/b><span style=\"font-weight: 400;\">: Auditors are required to report any frauds or irregularities detected during the audit to the management and the audit committee of the NBFC. They are also required to report to the RBI if the frauds are material or if there is any violation of regulatory norms.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Compliance with Regulatory Norms:<\/b><span style=\"font-weight: 400;\"> Auditors are required to verify and ensure that the NBFC is complying with the regulatory norms and guidelines issued by the RBI. This includes verifying compliance with the prudential norms, KYC norms, and anti-money laundering (AML) and combating of financing of terrorism (CFT) guidelines.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Review of Internal Controls:<\/b><span style=\"font-weight: 400;\"> Auditors are required to review the internal control systems of the NBFC to assess their effectiveness in preventing and detecting frauds, errors, and irregularities. They are also required to provide recommendations for improving the internal control systems.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Certification of Compliance:<\/b><span style=\"font-weight: 400;\"> Auditors are required to issue a certificate of compliance with regulatory norms to the NBFC, as prescribed by the RBI, at the end of each financial year.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Communication with Shareholders<\/b><span style=\"font-weight: 400;\">: Auditors are required to communicate with the shareholders of the NBFC through the management on matters related to the audit, including any significant findings or issues identified during the audit.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Continuing Professional Development<\/b><span style=\"font-weight: 400;\">: Auditors are required to maintain their professional competence and keep themselves updated with the latest developments in the accounting and auditing standards, regulations, and best practices.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Auditors play a critical role in ensuring the financial stability and transparency of NBFCs by providing an independent and objective assessment of the financial statements and internal control systems, verifying compliance with regulatory norms, and reporting any irregularities or violations detected during the audit.<\/span><\/p>\n<p><b>NBFCs Compliances as Specified by the RBI<\/b><\/p>\n<p><span style=\"font-weight: 400;\">NBFCs are regulated by the RBI and are needed to comply with many directions, instructions and regulations issued by the RBI to ensure the soundness and stability of their functions. Some of the key compliances specified by the RBI for NBFCs are as:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Minimum Capital Adequacy Ratio (CAR):<\/b><span style=\"font-weight: 400;\"> NBFCs are required to maintain a minimum CAR of 15% of their risk-weighted assets. The CAR is a measure of a <\/span><span style=\"font-weight: 400;\">company<\/span><span style=\"font-weight: 400;\">&#8216;s financial strength and ability to absorb losses.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Liquidity Norms:<\/b><span style=\"font-weight: 400;\"> NBFCs are required to maintain a minimum level of liquidity to meet their obligations as they arise. The liquidity requirements are specified based on the nature and size of the NBFC&#8217;s business.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Asset Classification and Provisioning Norms:<\/b><span style=\"font-weight: 400;\"> NBFCs are required to classify their assets into standard, sub-standard, doubtful, and loss categories based on their quality and performance. They are also required to make adequate provisions for their non-performing assets (NPAs).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>KYC Norms:<\/b><span style=\"font-weight: 400;\"> NBFCs are required to follow the <\/span><a href=\"https:\/\/legalwindow.in\/application-for-kyc-of-directors\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">KYC<\/span><\/a><span style=\"font-weight: 400;\"> norms while opening accounts of customers. The SBRF is aimed at improving regulatory efficiency and promoting the growth of small NBFCs while ensuring that large NBFCs are subject to more stringent regulations. Some of the key regulatory changes introduced by the SBRF are as follows:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Constitution of Risk Management Committee (RMC)<\/b><span style=\"font-weight: 400;\">: The board is able to concentrate on risk management, NBFCs introduces RMC, which is either at the Board level or executive one. The RMC shall be manageable for examining the whole risks faced by the NBFC involving liquidity risk and will report to the Board.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>NPA<\/b> <b>Classification: <\/b><span style=\"font-weight: 400;\">This norm denotes to move the overdue period of more than 90 days for all sections of NBFCs. A path has been given to NBFCs in Base Layer to attach the 90 days NPA norm by 31<\/span><span style=\"font-weight: 400;\">st <\/span><span style=\"font-weight: 400;\">March, 2026.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Initial Public Offer (IPO) Funding: <\/b><span style=\"font-weight: 400;\">For the financial subscription to IPO shall be a ceiling of INR 1 Crore to each borrower, but NBFCs are confirmed to fix more limits on conservative.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Net Owned Funds (NOF): <\/b><span style=\"font-weight: 400;\">As per the recent regulatory changes by the RBI, the regulatory minimum NOF for NBFC-ICC, NBFC-MFI and NBFC-Factors has been increased to INR 10 crore. This means that these NBFCs are required to maintain a minimum NOF of INR 10 crore to operate as an NBFC.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">However, the RBI has provided a glide path for the existing NBFCs to achieve the minimum NOF of INR 10 crore by 31<\/span><span style=\"font-weight: 400;\">st<\/span><span style=\"font-weight: 400;\"> March 2027.
