The procedure for the issue of the share certificate is as follows-<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\"> Prepare a share certificate form-SH 1\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Every unregistered<a href=\"https:\/\/legalwindow.in\/public-limited-company\/\" target=\"_blank\" rel=\"noopener\"> public company<\/a> will issue its securities in a dematerialized form.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Shared Certificates shall be signed- <\/span>\n<ul>\n<li>by two directors or;<\/li>\n<li>the director and secretary of the company, wherever there is a company secretary<\/li>\n<\/ul>\n<\/li>\n<li><span style=\"font-weight: 400;\"> If the company has a common seal it will be affixed in front of each person who is required to sign the certificate.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> In the case of an OPC or a <a href=\"https:\/\/legalwindow.in\/one-person-company\/\" target=\"_blank\" rel=\"noopener\">One Person Company<\/a>, the Share Certificate shall be signed by the director and company secretary or any other person approved by the Board.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Registration of members on Form MGT-1 within 7 days of allocation.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Verification of registered entries by CS or an authorized person under the provisions and standards of rates for that state in the Stamp Act.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> Stamp duty adjudication where the company\u2019s registered office is situated.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"> The company submits collateral, distributed, transferred, or transmitted certificates:<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">If they are registered for the memorandum &#8211; Within 2 months from incorporation.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the case of any share&#8217;s allocation &#8211; Within 2 months from the date of allotment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the case of transmission of securities- Within 1 month from share transfer receipt<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Debenture allotment- Within 6 months from the date of allocation<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Note: The public company IFSC will submit certificates of all collateral to the registrants upon submission, distribution, transfer, or transmission within 60 days.<br \/>\n<\/span><\/p>\n<h2 id=\"Time\"><b>Time to issue a Share Certificate:<br \/>\n<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">After the company\u2019s incorporation, the company is required to issue shares certificates within two months from the date of incorporation. When additional shares are allocated to new or existing shareholders, share certificates must be issued within two months from the date of allocation. In the case of a transfer of shares, share certificates must be issued to the transferors within one month of receipt of the transfer instrument of the Company.<br \/>\n<\/span><\/p>\n<h2 id=\"Notification\"><b>Notification and delivery of Share Certificate<br \/>\n<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The company secretary needs to inform all shareholders that the stock certificates are ready and will be issued in exchange for share letters and bank receipts confirming the payment of the dividend. Public notice must be issued with the general information of members. Members submit their assignment letters, the sharing certificate is sent by registered mail to them.
